Does a Foreign-Owned Italian SRL Need a Statutory Auditor?

When an Italian SRL must appoint a sindaco or revisore: 2026 thresholds, parent-auditor overlap, deadlines, register filing and the cost decision.

Written by the chartered accountants of Proclama S.T.P. S.p.A. · Last updated October 2026

An overseas parent may already pay for a group audit and still need a separate appointment for its Italian subsidiary. The trigger belongs to the Italian società a responsabilità limitata (SRL), not to the parent's reporting timetable. The legal choice is between an Italian control body, an audit practitioner, or an appropriate combination—not simply whether somebody at group headquarters reviews the figures.

This guide states the position applicable on 27 October 2026. Its subject is the ordinary private SRL, not the special audit regimes for listed companies, banks or insurers. Ask an Italian professional to review the SRL's articles, its own accounts and subsidiaries, the proposed appointee's registration and independence, and the competent Business Register's filing instructions before making a decision.

The short answer: article 2477 has three alternative triggers

Article 2477 of the Civil Code makes appointment of an organo di controllo (control body) or a revisore (statutory auditor) compulsory if the SRL (a) must prepare consolidated accounts, (b) controls another company subject to statutory audit, or (c) exceeds at least one specified size limit for two consecutive financial years. These are alternatives, not three requirements to meet at once. Foreign ownership alone is not on the list.

Question about the Italian SRL Legal test at 27 October 2026 First document to obtain
Must it prepare its own consolidated accounts? Article 2477(2)(a): appointment required Italian consolidation analysis and ownership chart
Does it control a company that must undergo statutory audit? Article 2477(2)(b): appointment required Subsidiary ownership and that company's audit obligation
Has it crossed a size limit in two consecutive years? Article 2477(2)(c): more than €4 million total balance-sheet assets, more than €4 million sales-and-services revenue, or more than 20 average employees Two approved annual accounts and staff averages

An articles-of-association provision may also call for a control body or auditor voluntarily. The first paragraph of article 2477 permits the articles to define that office's powers, including statutory audit. A sole foreign shareholder therefore should not assume that being below the statutory tests means there is no existing office to maintain or no contractual requirement to commission an audit.

Share capital is not a fourth trigger.

The former rule tied to the minimum capital of an Italian public limited company was repealed by article 20(8) of Decree-Law 91/2014, as converted. Do not order an audit solely because a formation template refers to a particular amount of capital. Conversely, a lightly capitalised company with substantial assets or sales can meet the size test.

Read the size test from the right accounts

The words of article 2477 are “ha superato”—has exceeded—not “has reached.” Exactly €4,000,000 of assets or sales does not pass that limit; a staff average of exactly 20 does not exceed 20. Nor must the SRL exceed two out of three figures: one qualifying limit for each of two consecutive financial years is the statutory formulation. Check the Italian company's figures, not the consolidated sales of its foreign owner or the total headcount of the global group.

The balance-sheet figure is the totale dell'attivo dello stato patrimoniale, not equity, net assets or the parent's investment in the subsidiary. The revenue figure is ricavi delle vendite e delle prestazioni, not every component of total production value. The staff test is the average during the financial year, not just the year-end payroll number. The guide to reading Italian filed accounts explains the headings; this article applies them to the control appointment.

Illustrative SRL, calendar years FY2024 FY2025 Reading of the size trigger
Alba: balance-sheet assets €4.2 million €4.4 million Above the asset limit twice: appoint at approval of FY2025 accounts or within the following 30 days
Bruno: sales-and-services revenue €4.0 million €4.3 million Exactly at the limit in FY2024: these two years alone do not establish the trigger
Cora: assets then sales €4.2 million assets; sales below limit Assets below limit; €4.3 million sales Different limit in each year: this guide does not determine the treatment; obtain Italian advice before relying on non-appointment

These are invented figures to show the legal comparison, not actual company filings. In Cora's case, article 2477 says at least one limit must be exceeded for two consecutive years but does not expressly address a different limit in each year. This guide does not determine the legal treatment of that sequence, and does not claim a documented dispute. Before relying on non-appointment, retain the underlying accounts and ask Italian counsel for a reasoned interpretation. A single below-threshold year also does not erase an appointment already in force.

The size-based obligation ceases only when none of the three limits has been exceeded for three consecutive financial years, under article 2477(3). That cessation clause expressly refers to letter (c); it does not override the independent consolidated-accounts or control-of-audited-company triggers, nor automatically settle the term or removal of an incumbent. For the terms on which a particular office can end, read the appointment and seek professional advice.

Do not import the abbreviated-accounts thresholds.

Legislative Decree 125/2024, article 16 raised the different article 2435-bis financial-statement limits to €5.5 million assets and €11 million sales. It amended article 2435-bis and the consolidated-accounts exemption in Legislative Decree 127/1991; it did not amend article 2477. The latter's €4 million/€4 million/20 test, set by article 2-bis of Decree-Law 32/2019 as converted, remains the one to use in 2026. Legislative Decree 47/2026, article 9 changed corporate controls but did not change those article 2477 triggers either.

The path to today's figures matters when reading older guidance. Legislative Decree 14/2019, article 379, originally introduced a one-of-three test at €2 million assets, €2 million sales and 10 average employees, effective from 16 March 2019. The article 379 text quoted in later legislation preserves those historical figures; it does not displace the direct 2019 amendment to article 2477. Article 2-bis of Decree-Law 32/2019, inserted on conversion by Law 55/2019 and in force from 18 June 2019, raised them to today's €4 million/€4 million/20. The first-application deadline for companies already in existence then moved from nine months to approval of FY2019 accounts under Decree-Law 162/2019, article 8(6-sexies), then to FY2021 under Decree-Law 34/2020, article 51-bis, and finally to approval of FY2022 accounts under Decree-Law 118/2021, article 1-bis, as converted. That first-application transition has expired; it is not a fresh 2026 extension.

Consolidation: the foreign parent is not the Italian parent

The consolidation trigger asks whether the Italian SRL is required to draw up consolidated accounts, not whether its overseas parent includes the Italian company in the parent's group accounts. Article 25 of Legislative Decree 127/1991 starts from an SRL's control of another undertaking; article 27 sets exemptions. For the size exemption, the controlled and controlling businesses must not exceed two of three consolidated limits in two consecutive years: €25 million assets, €50 million sales and services revenue, and 250 average employees. If the test uses unconsolidated aggregate figures, the two monetary limits rise by 20% to €30 million and €60 million. The size exemption is unavailable if the parent or any subsidiary is a public-interest entity or an intermediate-regime entity, under article 27(2). These are consolidation rules, not article 2477's standalone one-of-three appointment test; have an Italian adviser test the full article 27 conditions.

A subsidiary-of-a-parent exemption from preparing its own consolidated statements also has conditions under article 27(3)–(5). The parent must hold more than 95% of the subsidiary, or, if not, shareholders with at least 5% of capital must not have requested consolidation at least six months before year-end. The parent must be governed by the law of an EU member state, prepare qualifying audited consolidated accounts, and meet further conditions including disclosure of the exemption and deposit of the parent's consolidated accounts and accompanying reports. A UK or US parent's consolidation alone does not meet the EU-parent condition. Even if the exemption removes article 2477(2)(a), the Italian SRL may still trigger (b) by controlling an audited company or (c) by its own size.

Another common mistake reverses letter (b): being controlled by a foreign group that has an auditor is not the test. Controlling a company subject to statutory audit is. An Italian holding SRL with relatively few staff can therefore be required to appoint without exceeding its own €4 million/20 size criteria, while an operating subsidiary audited only as a component of a foreign consolidation is not obliged solely for that reason. The latter still needs its own tests run.

Which office to appoint, and who can hold it

Under article 2477, a control body and a statutory auditor are legally different choices. The sindaco unico is the default one-person control body where the articles do not provide otherwise. The collegio sindacale is a multi-member control body; Civil Code article 2397, as reproduced in the 2026 reform provides for three or five standing members and two substitutes. At least one standing and one substitute member must be registered statutory auditors; other members must be registered auditors, members of the specified professional registers, or tenured university professors in economic or legal subjects. The sindaco is a natural person occupying a corporate office; an audit firm can instead be appointed as a separate statutory auditor. These offices are not interchangeable English translations.

Arrangement Principal work Point to settle before the shareholder decision
Sole control body (sindaco unico) Company-law supervision of management, compliance and controls Articles, eligibility and whether it will also perform the audit
Collegiate control body (collegio sindacale) Same supervisory function, with a collegiate membership Membership, independence, substitutes and any lawful audit mandate
Individual auditor or registered audit firm (revisore legale / società di revisione legale) Statutory audit of annual accounts and an audit opinion Registration, independence, scope, remuneration and local appointment
Control body plus separate auditor Supervision and audit assigned to different offices Both mandates, coordination, and the additional work and fee

The control body's supervision now appears in article 2396-quinquies, inserted by Legislative Decree 47/2026: observance of law and articles, sound administration, and adequacy and actual operation of the organisation, administration, accounting and internal risk-control arrangements. Articles 2396-sexies and 2396-octies give inspection and information powers, require records and meetings at least every 90 days. By contrast, article 14 of Legislative Decree 39/2010, as replaced in 2016, makes the auditor review the bookkeeping during the year and issue a report with an opinion on the annual, and where applicable consolidated, accounts. Hiring a bookkeeper or requesting a group consolidation package does neither office's legal work.

Statutory audit is reserved for persons or firms entered in Italy's Registro dei revisori legali: article 2 of Legislative Decree 39/2010 as amended in 2024 expressly reserves the activity to registered subjects. An EU audit firm has a specific registration route and engagement-partner requirements; home-country authorisation alone is not enough. Article 2409-bis as reproduced in the 2026 reform allows the articles of a company not obliged to prepare consolidated accounts to assign the audit to its control body; an audit-performing collegio sindacale must consist entirely of registered statutory auditors, not merely meet the minimum one-regular-and-one-substitute rule for supervision alone. For mandatory SRL or court appointments where the articles do not expressly assign the audit, the interaction of articles 2477 and 2409-bis has an interpretative dimension; do not assume either that the sindaco automatically signs the opinion or that the absence of an express provision invariably precludes it. Ask Italian counsel to settle the mandate and the eligibility of a sindaco unico before appointment.

Group status may rule out the combined route altogether. Under articles 16(2) and 19-bis(2) of Legislative Decree 39/2010, a control body cannot conduct the statutory audit of a public-interest or intermediate-regime entity, nor of a company controlling, controlled by or under common control with such an entity. An otherwise ordinary Italian SRL can therefore need a separately appointed auditor because of its group relationship. Check this separately from the article 2477 trigger and obtain advice on the precise group perimeter.

Independence is substantive.

Article 2396-septies, introduced in 2026, disqualifies, among others, specified close relatives of directors and those in an employment relationship with the company or its controlling, controlled or sister companies; continuing consultancy, other paid work or financial relationships that impair independence also disqualify. Holding another control-body office in a group company is not by itself disqualifying. For a separate audit engagement, article 10 of Legislative Decree 39/2010 requires independence from the audited entity both during the period under review and during the audit; self-review and financial, business or employment relationships must be assessed. Do not appoint the person preparing the subsidiary's accounting as its “independent” auditor by default, even if headquarters uses that person for reporting support.

How the parent's group auditor fits in

A parent company's auditor may request the Italian SRL's ledgers, consolidation adjustments and component-audit evidence. That work is useful to the group, but it does not replace the Italian shareholders' appointment if article 2477 applies. The legal audit report on the Italian SRL's own annual accounts must come from the appointee who qualifies for that office; the parent's consolidated opinion answers a different question. The difference matters particularly where the Italian SRL's books use Italian accounting headings and the group reports under another framework.

Article 10-quinquies of Legislative Decree 39/2010 makes the auditor of an Italian consolidated group fully responsible for that group's consolidated audit report and requires evaluation and documentation of other component auditors' work. The EU statutory audit directive, article 27, similarly separates group responsibility from component work. This is not a rule giving a foreign group auditor an automatic Italian engagement. For a UK- or US-led group, agree access to Italian work papers, instructions, confidentiality and reporting dates with the Italian appointee; ask the parent's auditor what component work it actually needs. This coordination is a planning recommendation, not a prescribed Italian filing.

A network brand is also not an appointment: two firms with the same international name may be distinct legal persons, and even the same eligible firm must be properly appointed by the Italian SRL and satisfy the relevant independence tests. If the foreign auditor proposes an Italian network firm, have the Italian shareholders' decision name the actual eligible individual or firm and define which entity signs which report. The branch-versus-subsidiary guide explains why the Italian SRL is a separate company; the annual-running-costs guide treats this engagement as a separate recurring budget line.

The decision, deadlines and Business Register entry

Article 2479(2)(3) of the Civil Code reserves the article 2477 appointment to the shareholders. A foreign sole parent therefore makes the Italian-company decision as shareholder, not merely through a parent-board procurement order. Article 2479 permits written consultation or written consent where the articles allow; for a separate audit engagement, current article 13(1) of Legislative Decree 39/2010 calls for a reasoned proposal from the control body where one exists. Under article 2477, the meeting approving the accounts in which size limits are exceeded must appoint within 30 days. Have an Italian adviser reconcile the form of decision, any proposal and the applicable trigger rather than assuming a parent-board resolution suffices.

A simple size-trigger timeline: if an SRL exceeds €4 million of balance-sheet assets in both FY2024 and FY2025, and its shareholders approve FY2025 accounts on 28 April 2026, the article 2477 appointment window runs through 28 May 2026, from that approval—not from 31 December 2025 or the filing of annual accounts. Appoint at the approval meeting or within the following 30 days. These dates and figures are illustrative; the first-application extension through approval of FY2022 accounts cannot extend an ordinary 2026 appointment deadline.

Record the actual office appointed, the audit scope if any, the term and remuneration, the candidate's consent, independence and register details, and the decision in the SRL's corporate records. Before acceptance, a proposed sindaco also discloses other administration and control offices, as article 2400(4) requires. A sindaco's mandate runs for three financial years under that article, with nominal expiry at the meeting called to approve the third year's accounts. But expiry does not end the sindaco's office immediately: cessation for expiry takes effect when the control body is reconstituted. A separate audit engagement also lasts three financial years and expires at the third accounts meeting under current article 13(2) of Legislative Decree 39/2010. Do not equate either three-year term with a fixed 36 months from appointment or assume the two offices' cessation rules coincide.

Do not confuse two 30-day rules.

Article 2477 governs the shareholder appointment after the relevant accounts approval. Article 2400(3), applied to the control body through article 2477(4), requires directors to enter a sindaco's appointment and cessation with the Registro delle imprese within 30 days of appointment/cessation. The Turin Chamber of Commerce's control-body filing instructions specify the electronic S2 filing, act code A08, personal form P and evidence of the shareholder decision. Filing the annual accounts is a different operation.

A stand-alone statutory auditor's Business Register position is more nuanced. The Turin Chamber's auditor instructions provide an S2/A08 and form P route for publicising a later audit appointment, but explicitly say there is no statutory filing deadline or administrative filing sanction for that auditor-only application. Do not present the sindaco's article 2400 filing deadline as if it applied to every stand-alone revisore. Arrange the filing promptly and check the competent chamber's practice. Separately, the MEF's July 2026 auditor-register tutorial says qualifying statutory-audit engagements, their duration and agreed fees must be communicated to the professional register within 30 days of appointment. Ministerial Decree 145/2012, articles 11, 13 and 16 sets the particulars for individuals and firms and the variation deadline. MEF guidance distinguishes those engagements from a non-auditing control-body seat. Neither professional-register communication is the company's Business Register filing.

Consequences and fees: avoid both false economies and false tariffs

If the company does not appoint, article 2477 permits a tribunal to appoint on application by any interested person or following a notice from the Business Register registrar. This is not a theoretical loophole: the Bari Chamber's 2026 notice and Cosenza Chamber's October 2026 notice describe actual review of historical accounts, invitations to comply and proposed tribunal referrals. Their dates for responding are local notices to named companies, not a new universal appointment deadline. A late register filing of an appointment is a distinct issue from never making the appointment. No automatic invalidity of the company's accounts or blanket penalty amount is asserted here; ask counsel to assess the consequences of the actual omission. Late registration of a sindaco appointment, as distinct from failure to appoint, can attract the administrative filing sanction under Civil Code article 2630, as replaced by Law 180/2011, article 9(5): the statutory range is €103–€1,032 for an omitted or overdue required Business Register notice, reduced to one third if filed in the 30 days following its due date. The Florence Chamber's 2026 penalty table confirms those figures and distinguishes the reduced-payment amounts; the competent chamber determines the actual notice and any expenses. This is not a general fine for failing to create the office and does not override Turin's different auditor-only filing guidance.

There is no official universal annual fee range to apply to a foreign-owned SRL. Current article 13(1) of Legislative Decree 39/2010 calls for the audit remuneration and any adjustment criteria to be set for the entire engagement. Article 10(10) ties planned hours and professional resources to balance-sheet size, composition and risk, and to consolidation risk. For control-body remuneration, Civil Code article 2402 provides for fixing the annual amount for the entire term at appointment if the articles do not set it. A judicial fee-parameter table is not a market price list, so this guide does not turn it into a promised annual bill.

Ask for separate scope and remuneration for company-law supervision, audit of the Italian annual accounts, any Italian consolidation and the additional reporting requested by headquarters. The parent may negotiate a coordinated timetable with its group auditor, but neither a group-wide fee allocation nor an outsourced bookkeeping contract establishes that the Italian statutory office has been filled. The Italian compliance calendar covers recurring filing dates; keep the appointment and its own register follow-through on a separate governance checklist.

What this guide does not cover

It does not determine the legal treatment of different size limits exceeded in successive years, give an opinion on a particular consolidation exemption, or resolve whether a mandatory SRL control-body appointment without express articles also carries the audit mandate. It does not set an audit fee or decide whether a named foreign practitioner can register in Italy. The Italian-language article on this site, Revisore o sindaco unico SRL: obbligo di nomina e costi 2026, is a pointer for an Italian-speaking colleague, not evidence for any legal claim here. The substantive references in this guide concern company and audit law as at 27 October 2026, not the separate income-tax or VAT texts.

Frequently asked questions

Does every foreign-owned Italian SRL need an auditor?

No. Foreign ownership is not itself a trigger. Under article 2477 of the Italian Civil Code, appointment of a control body or auditor is mandatory if the SRL must prepare consolidated accounts, controls a company subject to statutory audit, or exceeds at least one of the €4 million assets, €4 million sales or 20 average employees limits for two consecutive financial years. The articles can also provide for a voluntary appointment.

Does a share capital of €50,000 require an auditor?

No. The former capital-based appointment rule in article 2477 was repealed by article 20(8) of Decree-Law 91/2014, as converted. Capital does not appear among the current mandatory triggers; assess consolidation, control of an audited company, the three size tests and any voluntary provision in the SRL's articles.

Are the auditor thresholds €5.5 million assets and €11 million revenue?

No. Those figures are the updated eligibility limits for abbreviated annual accounts under article 2435-bis, not the separate mandatory-appointment test in article 2477. The latter remains €4 million of total assets, €4 million of sales and services revenue, or 20 employees on average, with at least one threshold exceeded for two consecutive years.

When must the appointment be made after crossing the limits?

Article 2477 says the meeting approving the accounts in which the relevant limits are exceeded must appoint the control body or auditor within 30 days. For the size test, check two consecutive financial years; do not count 30 days from the year-end or from the filing of the accounts with the Business Register. There are separate registration steps after appointment.

Can the overseas parent company's auditor sign the Italian SRL audit?

Only if that person or audit firm is eligible for the Italian statutory engagement, is entered in the Italian register under the applicable rules, satisfies independence requirements and is appointed by the SRL's shareholders. An audit of the parent group's consolidation or an internal group review does not itself constitute the SRL's article 2477 appointment.

What is the difference between a sindaco unico and a revisore legale?

A sindaco unico is the SRL's single-member corporate control body; a revisore legale is an individual statutory auditor, while a società di revisione legale is an audit firm. An audit-performing collegiate control body requires registered auditors throughout and normally an express provision in the articles for a company not required to consolidate. For mandatory SRL or court appointments without an express provision, the allocation is debated; ask Italian counsel. Public-interest and intermediate-regime group restrictions can require a separate auditor.

Does a foreign parent consolidating the SRL remove the Italian appointment requirement?

No automatic exemption follows from inclusion in the foreign parent's consolidated accounts. Article 2477 tests what the Italian SRL itself must do, including whether it must prepare a consolidation, whether it controls an audited company and whether its own figures cross the size limits. An Italian SRL that is itself a parent may have a separate consolidation exemption under Legislative Decree 127/1991; that question needs its own review.

How much does an Italian statutory auditor cost?

There is no universal statutory fee or defensible market-wide price in this guide. Under article 13 of Legislative Decree 39/2010, shareholders determine the audit remuneration for the full engagement; article 10(10) requires planning resources and hours against size, complexity and risk. Request a scoped proposal distinguishing statutory supervision, audit of the Italian accounts and group-reporting work.

What happens if the shareholders do not appoint?

Under article 2477, the tribunal can make the appointment on application by any interested party or following a report from the Business Register registrar. Chambers of Commerce have published compliance notices and announced tribunal referrals for non-compliance. A missed appointment and a late filing of an appointment are different problems; do not assume that a group audit or a later filing cures the period without the required office.
