Fixed charges, professional fees, people and taxes: how to separate them before you sign.
The short answer
Keeping an Italian SRL alive is not one annual bill. It is a stack of charges with different triggers: some are due because the company exists, some because it trades, some because it employs people, and some because it makes a profit. Mixing them produces two opposite mistakes. A budget that counts only the accountant's monthly fee is too low. A budget that treats taxes as a fixed annual cost is too high and hides the charges that really are unavoidable.
This guide separates the layers for a company whose financial year matches the calendar year, using the amounts in force on 27 October 2026. It is written for a non-resident owner, so it flags the points where residence changes the answer. It is not a quote. The accounting fee, the payroll cost and the tax depend on your transactions, your people and your Chamber of Commerce.
Three layers, not one number
| Layer | What it contains | How it behaves |
|---|---|---|
| Statutory charges | Duty on company books, Chamber of Commerce fee, filing of the annual accounts, stamp duty on qualifying invoices | Due even with no profit; some depend on capital, turnover, local units or invoices |
| Services and infrastructure | Bookkeeping, annual accounts, tax returns, payroll, audit, PEC, digital signature, software | Quoted or provider-priced; the largest predictable line is usually accounting |
| Taxes and people | IRES, IRAP, VAT, dividend withholding; salaries, social contributions, TFR | Variable; not part of the fixed floor and not payable just because the company exists |
Operating costs sit outside all three: rent, utilities, insurance, bank charges, travel, software subscriptions and professional advice on extraordinary matters. They are commercial choices, not statutory charges.
The distinction matters most in the first year, when the incorporation invoice is still in front of you and the recurring charges have not yet arrived. Opening an SRL in Italy covers the one-off side. This article covers the part that comes back.
The statutory floor in 2026
For an SRL with share capital not exceeding €516,456.90, turnover up to €100,000, no local units and no exemption, the statutory charges are these:
| Charge | 2026 amount | When it is due |
|---|---|---|
| Annual duty on company books | €309.87 (€516.46 where share capital exceeds €516,456.90) | 16 March, Form F24, tax code 7085 |
| Annual Chamber of Commerce fee | €200 on turnover up to €100,000, before the 50% reduction; about €100 after it, or €120 where the Chamber applies the authorised 20% increase | By the first income-tax advance deadline, 30 June 2026 for a calendar-year company |
| Filing of the annual accounts | €127.50 in the ordinary case: €65.00 stamp duty plus €62.50 filing fees, including the €2.50 OIC contribution | Within 30 days of approval of the accounts |
| Stamp duty on electronic invoices | €2.00 for each invoice containing more than €77.47 of amounts subject to stamp duty, generally non-VAT amounts unless an exemption applies | Quarterly, Form F24, tax codes 2521-2524 |
That is a statutory floor of about €537.37 to €557.37 a year before invoice stamp duty. The range is not uncertainty about the law: it reflects the Chamber of Commerce increase and any local variation in filing fees.
The duty on company books
The tassa annuale sui libri sociali is a state concession duty for the numbering and stamping of accounting books and registers. It is due from companies with share capital, SRLs included, and also from companies in liquidation. The amount depends on the share capital or endowment fund on 1 January of the year of payment, not on the number of books or registers kept.
For the year in which activity begins, payment is made before filing the VAT start declaration, using the postal bulletin indicated by the Revenue Agency. From the following year it is paid by 16 March with Form F24 and tax code 7085. A company in liquidation does not escape the charge.
The Chamber of Commerce fee
The diritto annuale camerale is calculated on the previous year's turnover, so the 2026 fee uses 2025 turnover. The national bands start with a fixed €200 up to €100,000, then apply percentages in higher bands up to a cap of €40,000. Each local unit registered in addition to the head office adds 20% of the head-office amount, with a maximum of €200 per unit.
The total is then reduced by 50% under article 28(1) of Decree-Law 90/2014. For turnover up to €100,000 the result is €100. Some Chambers of Commerce have also been authorised to apply a 20% increase for 2026-2028 to finance specific projects; where that applies, the fee becomes about €120. The increase is not universal, and the bands are not the last word: the competent Chamber publishes the amount and any local measures. Check its notice, not a national average.
The payment deadline follows the first income-tax advance. For a calendar-year company in 2026 that is 30 June 2026, with the special ISA calendar and the usual 30-day window at a small surcharge. The 2026 compliance calendar sets out the dates.
Filing the annual accounts
Every SRL must file its approved annual accounts with the Business Register within 30 days of approval. The filing is not free: the ordinary charge is €65.00 of stamp duty plus €62.50 of filing fees, which include the €2.50 contribution to the Italian accounting standards body (OIC). Chamber schedules and exemptions can change the amount, so check the current notice of the competent Chamber before filing.
There are exceptions. Innovative startups registered in the special section are exempt from both the filing fees and the stamp duty on the accounts filing, according to the Chamber schedule. Companies in liquidation and inactive companies still have to file. A late or missing filing is sanctioned under article 2630 of the Civil Code, and the penalty falls on the directors.
Stamp duty on electronic invoices
Electronic invoicing through the Sistema di Interscambio carries €2.00 of stamp duty on each invoice containing more than €77.47 of amounts subject to stamp duty. In practice these are generally amounts not subject to VAT, such as exempt, non-taxable or non-imposable supplies, unless a specific exemption code applies. An invoice for an ordinary VATable supply does not carry the duty.
The Revenue Agency calculates the amount quarter by quarter and shows it in the reserved area of the Fatture e corrispettivi portal. Payment is made by direct debit or Form F24 using tax codes 2521 to 2524. The duty is small per invoice but scales with the number of qualifying invoices, which is why it belongs in the variable part of the budget rather than in a fixed annual estimate.
What the statutory floor does not include
The €537 to €557 figure is often mistaken for the total cost of running the company. It is only the amount payable to public bodies and the Chamber. It does not include:
- bookkeeping, the annual accounts, the corporate income tax return, the IRAP return, the VAT returns and the LIPE communications;
- payroll processing and the employer's social security and insurance contributions;
- the auditor or supervisory board, where the thresholds require one;
- the certified email address (PEC), the director's digital domicile, the digital signature certificate and invoicing software;
- IRES, IRAP and the withholding tax on dividends;
- rent, utilities, insurance, bank charges and other operating costs.
A quote that looks lower than the statutory floor is possible only if some of these items are excluded, recharged separately, or not yet due. Ask which.
Digital infrastructure: PEC, digital domicile and signature
An Italian company must register a certified email address (PEC) with the Business Register. Since 31 October 2025 the rule has also required a digital domicile for one director: the sole director, the chief executive, or in their absence the chair of the board. That address cannot be the same as the company's PEC. Companies already registered had until 31 December 2025 to comply. Registering or changing the digital domicile is exempt from stamp duty and filing fees when filed on its own, but the provider's annual fee for the mailbox is not.
The practical consequence for a foreign-owned SRL is that one PEC may no longer be enough. Budget for the company mailbox and, where the director is the person required to register, a separate mailbox in that person's name. The cost is set by the provider and has no official tariff. The annual cost calculator starts with an editable €30 example for PEC and digital signature, but that is an illustration, not a regulated price.
Filings with the Business Register are signed digitally, so the signatory needs a valid digital signature certificate. Whether the company buys the certificate for the director or relies on a professional to sign, the certificate has to be renewed, and the provider's fee belongs in the recurring costs.
Electronic invoicing software is the third piece. The company must be able to generate and transmit the Italian XML format through the Sistema di Interscambio. Whether that comes as a standalone subscription or as part of the accounting service, it is a cost of doing business in Italy, not a tax. The guide to e-invoicing for foreign-owned companies explains the flow.
Accounting: the largest predictable line
An SRL keeps proper accounting records and prepares annual accounts. The work is recurring, and it cannot be reduced to a single yearly filing: bookkeeping, VAT settlements, withholding taxes, the annual accounts, the corporate income tax return, the IRAP return and the LIPE communications all come around on their own schedule. That is why the accounting fee, not the Chamber fee, is usually the largest predictable annual cost.
The fee is not set by law. It is quoted after reviewing transaction volume, the number of invoices and bookkeeping entries, the presence of employees, the filings included and the quality of the records. Our published starting point is €3,850 a year excluding VAT for revenue up to €75,000, up to 600 bookkeeping entries and no employees. The model behind it uses €2,740 a year for bookkeeping — shown as about €228 a month — plus €1,080 a year for the annual accounts, the corporate income tax return and the VAT and LIPE returns. The published total is €3,850 because the annual total is rounded up to the next €50, so multiplying €228 by twelve does not reproduce it exactly. It is a reference point, not a market average and not a quote for a different profile.
Two things follow. First, the accounting fee should be agreed in a written engagement that names what is included. Second, the fee will move when the company grows: more invoices, more employees, more filings and more complex transactions all change the scope. The pricing page sets out the parameters, and the SRL annual cost calculator lets you combine the statutory charges with your own PEC and signature cost under stated assumptions. The calculator does not include accounting, taxes or payroll.
Payroll and the director's own position
Payroll is the line that most often breaks a foreign owner's budget, because the cost of an employee is not the gross salary. The employer adds INPS contributions, INAIL insurance premiums, accruals for the end-of-service allowance (TFR) and any payments required by the applicable collective agreement (CCNL). The percentages depend on the sector, the contribution class, the company's size and the contract. There is no single rate to put in a budget, which is why the employee cost calculator asks for the profile rather than returning a generic percentage. The guide to hiring in Italy covers the legal side.
Payroll processing is a separate professional fee, often priced per employee or per payslip. It should be stated in the engagement, together with the cost of the annual withholding certificate (Certificazione Unica) and the related filings.
The director's own position needs a separate decision. If the company resolves to pay the director, and that compensation is subject to Italian social security, the domestic treatment is INPS's Gestione separata. For 2026 the rate for a company director without other mandatory coverage is 35.03% (INPS relationship code 1A), calculated on the compensation. That rate includes a 1.31% DIS-COLL contribution which the Institute says is due even though the director is not a DIS-COLL beneficiary. Two thirds are borne by the company and one third by the director, paid by the 16th of the month after payment. A director already covered by another mandatory scheme, or a pensioner, is at 24%.
Separately, a shareholder who works in the business habitually and prevalently may be enrolled in the commercianti scheme. For 2026 the rate is 24.48%. The contribution has a fixed minimum of €4,611.64 on the €18,808 minimum income base, payable even where actual income is lower, in four instalments. Above that minimum, contributions are proportional to the taxable business income, and INPS's published guidance includes the share of company income attributed to the shareholder, regardless of whether it is distributed. The contribution is therefore not a fixed annual amount and not a tax on the company's profit: it is a social-security cost of the person's position, calculated on income that can include the attributed share.
For a director resident abroad, none of this is automatic. EU social-security coordination or a bilateral treaty may keep the person in the home country's scheme, usually evidenced by an A1 certificate or a certificate of coverage. Whether the activity is actually carried out in Italy, and for how long, matters. This is a legal question before it is a pricing question: get the position confirmed in writing before you budget for it.
Taxes: not a fixed charge
Taxes are a consequence of profit and of the value of production, not a subscription. The two corporate taxes work on different bases:
- IRES is the corporate income tax, at 24% of taxable income. The 20% rate available for tax year 2025 under strict conditions was a one-year measure; do not build a 2026 budget on it.
- IRAP is the regional tax on production, at 3.90% of the net value of production at the ordinary rate. Regions may vary the rate, and a two-point increase applies for the two tax periods covered by Decree-Law 21/2026 to businesses whose predominant activity is on the specified list. IRAP can be due even when IRES is zero, because it is not charged on profit.
VAT is different again. For a company making taxable supplies, VAT is a flow-through tax: it collects output VAT, recovers input VAT and pays the difference. It is not a cost. It becomes a cost where input VAT is irrecoverable, for example on exempt supplies or on expenses with no right of deduction.
When the company distributes profit, the shareholder bears Italian withholding tax on the dividend. The domestic rate is 26%, reduced by an applicable double tax treaty or EU regime where the conditions and documentation are in place. The withholding is taken from the dividend, so it reduces what the shareholder receives rather than adding a line to the company's running costs.
The corporate tax calculator applies IRES and IRAP to separate bases, and the guide to Italian taxes for foreign-owned companies covers the cross-border treatment.
An illustrative budget, not a quote
Take a calendar-year SRL with share capital below €516,456.90, turnover up to €100,000, no employees, no director remuneration, no shareholder social-security position, no local units, no audit obligation and no innovative-startup exemption. Assume the Chamber applies the 20% increase and the accounting profile is the smallest one on our published scale.
| Item | Annual amount |
|---|---|
| Duty on company books | €309.87 |
| Chamber of Commerce fee | €120.00 |
| Filing of the annual accounts | €127.50 |
| PEC and digital signature | €30.00, editable example in the calculator, not an official tariff |
| Bookkeeping, annual accounts and tax returns | €3,850.00 excluding VAT |
| Total before VAT, payroll, taxes, shareholder contributions and invoice stamp duty | €4,437.37 |
If the Chamber does not apply the 20% increase, the total is €4,417.37. Either way, it is about €4,400 a year before VAT, and it excludes invoice stamp duty, any payroll, any auditor, any INPS contribution due on a shareholder-director's position, IRES, IRAP, dividend withholding and ordinary operating costs.
The point of the exercise is not the €4,400. It is the shape of the number: roughly one eighth is statutory, and most of the rest is professional work. A budget that treats the statutory charges as the whole cost will be wrong by an order of magnitude. A budget that adds a guessed tax figure to a fixed annual cost will be wrong in the other direction.
VAT on the accounting fee is excluded from the table. Where the company has a taxable VAT position, that VAT is generally recoverable as input tax; where it does not, it is a real cost. The statutory charges themselves are not subject to VAT.
What changes the number
| Trigger | Effect on the annual cost |
|---|---|
| Turnover above €100,000 | Chamber fee moves into the percentage bands; accounting and filing work may move to a higher bracket |
| More invoices or bookkeeping entries | Accounting fee rises, often per entry above the included volume |
| Employees | Payroll fee, INPS and INAIL contributions, TFR and CCNL costs |
| A local unit | Chamber fee increases by 20% of the head-office amount, up to €200 per unit |
| Share capital above €516,456.90 | Duty on company books rises from €309.87 to €516.46 |
| Innovative startup in the special section | Exemption from filing fees and stamp duty on the accounts filing |
| Audit thresholds crossed | Auditor or supervisory board fee, quoted separately |
| Related-party transactions abroad | Transfer pricing documentation and advice, as explained in the transfer pricing guide |
| Exempt or partially exempt VAT activity | Irrecoverable input VAT becomes a cost |
| Dormant or in liquidation | Charges continue and the accounts still have to be filed |
The audit threshold deserves a separate note because it is easy to cross without noticing. Under article 2477(2) of the Civil Code, the appointment becomes mandatory if the company is required to prepare consolidated accounts, controls a company already subject to statutory audit, or has exceeded for two consecutive years at least one of these limits: total assets above €4 million, revenues above €4 million, or an average of 20 employees. The appointment is due within 30 days of approval of the accounts in which the condition is met. For the size-based trigger, the obligation ceases when none of the limits is exceeded for three consecutive years. The auditor's fee is a separate engagement, not a fixed statutory amount, and it can be material. Ask for a quote before the threshold is crossed, not after.
How to read a cheap quote
A low annual fee is not automatically bad value, but it has to be read against the scope. Ask these questions before signing:
- Does the fee include the statutory charges or are they recharged? The Chamber fee, the filing fees and stamp duty are out-of-pocket amounts; a quote that absorbs them is not comparable with one that does not.
- Which filings are included? Annual accounts, Redditi SC, IRAP, VAT returns, LIPE, Certificazione Unica and the 770 are separate pieces of work. Name them.
- What is the per-employee or per-invoice charge? A low base fee with an unstated per-payslip or per-entry charge can cost more than a higher all-in fee.
- What happens above the included volume? Ask for the threshold and the unit price, not just the base.
- Is the fee indexed? Check the annual increase clause and the notice period.
- Who signs and files? Confirm that the engagement covers the digital signature, the filing and the payment of the Chamber fee, and who is responsible for each deadline.
- What happens on termination? The records, the accounting software export and the handover to a new adviser should be addressed before they are needed.
A quote below the statutory floor is not necessarily a scam: the adviser may be excluding the public charges, or the company may qualify for an exemption. But the exclusion should be written down. The risk of an unclear quote is not the fee itself; it is the penalty, the late filing and the reconstruction work that follow.
Five mistakes non-resident owners make
- Counting only the monthly accounting fee. The statutory charges, the PEC and the filing fees are separate lines.
- Forgetting the second digital domicile. The company PEC and the director's digital domicile cannot be the same address.
- Assuming Italian social security does not apply because you live abroad. It may not, but the conclusion depends on coordination rules and on what you actually do, not on your passport or your tax residence alone.
- Treating IRAP as a profit tax. A company with zero taxable income can still owe IRAP.
- Assuming an SRLS is cheaper to run. The simplified SRL reduces the incorporation cost; it remains a capital company with the same accounting, filing and Chamber obligations.
Frequently asked questions
How much should I put in the first-year budget?
For the profile in the illustrative table, about €4,400 before VAT, payroll and taxes, plus invoice stamp duty and a margin for the first filing cycle. Add the incorporation costs separately. If the company will employ people or pay the director, add payroll and social security before you approve the plan.
Does the annual cost calculator include the Chamber fee and the accounts filing?
It includes them under the assumptions shown: the annual duty on company books, an assumed Chamber of Commerce fee, the ordinary accounts filing charge and stamp duty on the qualifying invoices you enter. It does not include accounting, income taxes, payroll, the auditor or operating costs. The Chamber fee and the filing charge can differ locally, so the notice of your own Chamber remains the reference.
Do I need an accountant in Italy if I can keep the books myself?
The company must keep proper accounting records and file annual accounts and tax returns electronically. A foreign director can in principle organise the work internally, but the filings, the digital signature, the VAT and withholding obligations and the Italian-language requirements make an Italian adviser the practical route for most foreign-owned SRLs. The question is scope and price, not whether the obligation exists.
Can I pay the director a small salary to reduce social security?
The social security treatment depends on the role, the remuneration and any other coverage, not on the amount alone. A token fee for the office can still trigger Gestione separata, and a shareholder who works in the business may fall under the commercianti scheme regardless of the salary chosen. Model the alternatives before fixing the remuneration.
Does the annual cost calculator give me a final figure?
No. It estimates statutory charges under the assumptions shown, adds the PEC and digital signature amount you enter, and leaves out accounting, taxes, payroll and operating costs. It is a budgeting aid, not a quote. The final fee is confirmed after the accountant reviews the company's transactions and filings.
