Cost to Set Up an SRL in Italy: Quote Builder

Prepare the brief for an incorporation quote in Italy: legal form, shareholders, planned capital, contributions, articles and registered office. The tool shows which charges are separate and never invents a total.

1. Legal form and shareholders

Share capital is money or assets contributed to the company. It is not a professional fee and it is not part of the quote.

2. Contributions and articles

What this calculator does — and what it does not

The Italian version of this tool (configuratore costi costituzione SRL) does not calculate a price: it builds a preparatory brief. This English page uses the same rules and the same brief, translated. You choose the legal form and the facts that change the work; the tool returns the points to discuss with the notary and the accountant.

It does not compute a total, does not include a price list and does not decide whether your capital is adequate for the business. The fee for incorporation support is not published as a fixed price: it is defined in a written quote after the brief is reviewed.

What a written quote separates

An incorporation cost is not one number. It combines the deed and the articles, the notary's fee, registration tax, stamp duties, chamber fees, any professional support and the capital that goes to the company. The table lists the items the Italian site already publishes; amounts we have not verified are left out.

Registration tax€200Ordinary cash-funded incorporation only; contributions in kind may attract different taxes
Stamp duty on the notarial deed filed electronically€156Forfaitaire, inclusive of the copy of the deed and the Companies Register application (Resolution 353/E/2007); no separate €65 for the same application
Filing fees for the electronic registration€90Table A, D.M. published in the Gazzetta Ufficiale of 28 June 2023

Amounts are in euro and, where the Italian page says so, exclude VAT. Taxes, stamp duties and chamber fees are not professional fees. Share capital is not a cost at all: it is paid into the company and remains an asset of the company.

SRL or SRLS: what changes

Both are limited liability companies. The ordinary SRL may tailor its articles of association and may have individuals or companies as shareholders. The simplified SRLS is incorporated with the standard model and, at incorporation, requires individuals as shareholders, contributions in cash fully paid at incorporation and capital of at least €1 but below €10,000. These rules are the reason the calculator blocks certain SRLS combinations instead of returning a brief.

The deed of incorporation must be received by a notary in both cases, and the company exists as a separate legal person from its registration in the Companies Register (Registro delle Imprese). The SRLS exemptions above concern the incorporation deed and registration only.

What moves the work, and therefore the quote

  • Number of shareholders and their relationship. More shareholders mean more alignments on roles, shares and signing powers.
  • A company among the shareholders. The ownership chain and the documents to collect change.
  • Custom clauses or shareholder rights. Governance, transfer of shares, majorities and exit rights require drafting, not a standard model.
  • Contributions in kind. Goods, receivables or other assets require a description, proof of ownership, a value and supporting documents.
  • Registered office and start of activity. The office determines the competent Companies Register; an immediate start brings invoicing, authorisations and first filings into the calendar.

Notary and accountant: different roles

The notary receives the public deed, checks the identity and capacity of the parties and the legality of the deed, and handles the filing. The accountant can help choose the form, describe the activity, check the tax data, set up the bookkeeping, plan the first filings and coordinate the information sent to the notary. The accountant does not replace the notarial deed, and the notary's fee is not automatically included in the firm's fee.

If you are opening an SRL as a non-resident, read how to open an SRL in Italy and the company formation service. Once the company exists, the recurring side is covered by accounting and tax; if you will hire, see payroll and HR and the guide to hiring employees in Italy.

What the brief contains

A valid brief has three base blocks: company data (proposed name, shareholders, shares, registered office and activity); deed and Companies Register (deed, articles, digital signature, PEC and filing); and running the company after incorporation (bookkeeping, invoicing, annual accounts, tax returns and the calendar of the first filings). Depending on your choices, the brief adds a point on ownership and management, on tailored articles, or on contributions in kind. You can print it, save it as a PDF or copy it into the enquiry form.

Frequently asked questions

Does this calculator return a final price?

No. The Italian configurator it mirrors contains no price list and no automatic total, and neither does this English version. It organises the choices on shareholders, capital, contributions, articles, registered office and start of activity so that the notary and the accountant can quote the actual case.

Why is there no professional fee for the firm?

The fee for incorporation support is not published as a fixed price: it is set in a written quote after the brief is reviewed. The Italian service page says the same thing and separates the firm's fee from notary fees, taxes, stamp duties, chamber fees, PEC, digital signature and the payment of share capital.

Which costs are charged by third parties?

The registration tax, stamp duties, chamber fees, the notary's fee, the certified email (PEC) and the digital signature are charged by public bodies or other professionals, not by the firm. The €200 registration tax applies to an ordinary incorporation funded in cash; contributions in kind and other provisions in the deed may attract different taxes, and the notary must confirm the treatment. Stamp duty on the notarial deed filed electronically is €156 forfaitaire, inclusive of the copy of the deed and the Companies Register application, and the filing fees for the electronic registration are €90; the €65 stamp duty is not added for the same application. An SRLS incorporated in person with the statutory standard model is exempt from stamp duty and filing fees and no notarial fee is due, under article 3 of Decree-Law 1/2012; online incorporation under the standard online model is not exempt.

Is share capital a cost of incorporation?

No. Share capital is money or assets contributed to the company, not a fee paid to the notary or the accountant. The form asks for it because it affects the structure and the funding plan, and because an SRLS requires cash capital below €10,000.

What is the difference between an SRL and an SRLS?

An SRLS is incorporated with the standard model, must have individuals as shareholders at incorporation, and must have cash capital of at least €1 and below €10,000 fully paid at incorporation. An ordinary SRL can tailor its articles, can have companies among its shareholders and can be incorporated with capital below €10,000 if the conditions of article 2463 of the Civil Code are met, including payment in cash. Both exist as separate legal persons from registration in the Companies Register.

Can an accountant replace the notary?

No. The deed of incorporation of an SRL must be received by a notary, who checks the legality of the deed. The accountant can prepare the data, the tax position and the bookkeeping, and coordinate the filing, but does not replace the notarial deed.

What happens if I choose contributions in kind?

The brief adds a point on goods, receivables or other contributions: description, ownership, value and supporting documents. The calculator does not value the contribution and does not prepare the deed; it flags the review to be done with the professional.

Is the SRLS always cheaper than an ordinary SRL?

For an in-person SRLS incorporation using the statutory standard model, the incorporation deed and registration benefit from the statutory stamp-duty, filing-fee and notarial-fee exemptions, so some initial items disappear. Online incorporation under the standard online model is not exempt, and the exemptions do not cover later filings of the company. The remaining professional work, the accounting and the annual filings do not disappear, and the choice must fit the project. Ask for a written quote that lists what is included and what is paid to third parties.

Same rules as the Italian tool

Validation and brief come from one shared module, so the English and Italian interfaces cannot drift apart.

No invented prices

Only verified third-party charges are shown. The firm's fee is quoted on the case, in writing.

Not legal advice

The brief prepares a conversation. It is not a deed, a valuation of contributions or a substitute for the notary's check.
